Business Registration

Registry of Business (ROB)

We can assist Malaysian citizens who would like to register sole-proprietorships or partnerships with the Registry of Business (ROB). The names of the business will need to be provided so that a search can be carried at the ROB as to the availability of the name to be used for the business. The new sole-proprietor or partners of the firm to beset up will need to provide the following:-

1. Names of sole-proprietor/partners
2. Identity Numbers (together with a photocopy of the identity card)
3. Current residential address
4. Date of Birth
5. Occupation and other directorship in public listed companies (if applicable)

Renewal of Business Licence

We can assist in the renewal of the business registration licence for firms registered at the Registry of Business (ROB). Our service fee for this service is RM10 excluding the renewal fee and any penalties that may be imposed by the ROB.

Company Formation

Formation/Registration of new companies

We can assist in the registration of new private limited companies with the Registry of Companies. Clients wishing to register new companies will need to provide the name of the proposed company. After initial verification of the availability of the name at the Registry of Companies, a formal search at the Registry of Company will be carried out. For this search, a fee of RM50 will be charged. This initial fee will be deducted from the final bill for the registration of the company should the client decide to incorporate the new company.

The cost of registration for a new company with an authorised share capital of RM100,000 and an issued capital of RM2.00 is RM2,200. The new company incorporated will be provided with the following:-

1. Memorandum & Articles of Association (10 sets)

2. Common Seal

3. Minute Book

4. Statutory Registers

5. Share Certificates (25 pieces)

6. The following particulars and documents will need to be provided before a company can be registered:-

7. Names of promoters (new shareholders/directors)

8. Identity Numbers/ Passport Numbers and Visas (with photocopy of document)

9. Current residential address

10. Date of Birth

11. Occupation and other directorship in public listed companies (if applicable)

A deposit of at least 50% of the cost of incorporation will need to be paid before we can commence registration of the company Kindly note that the whole registration process will take at least 14 working days from the date of submission of the completed documentation to the Registry of Companies.

Shelf Companies

Shelf companies are available for those clients who require a company very urgently and cannot wait for the registration process. The names of shelf companies available can be provided upon request. The cost of the Shelf Company is RM2,400 and you will need to provide the names of 2 individuals who will be the new shareholders and directors of the shelf companies. The documents to be provided are as follows:-

1. Names of promoters (new shareholders/directors)

2. Identity Numbers/ Passport Numbers and Visas (with photocopy of document)

3. Current residential address

4. Date of Birth

5. Occupation and other directorship in public listed companies (if applicable)

Basic procedures for the incorporation of companies are required to ensure the smooth flow of the process.

Requirements

The minimum requirements for the incorporation of a Company in Malaysia are as follows:

Each Company must have a minimum of two (2) directors, being a natural person with their principal place of residence in Malaysia.

Have a minimum Authorised and Paid-up Capital of RM100,000 and RM2 respectively.

Foreigners (Corporate/Individual) can set up companies in Malaysia provided they have a place of residence in Malaysia.

Foreigners (Corporate/Individual) wishing to set up business operations in Malaysia must establish a Malaysian registered Company.

The guidelines for formation of a Company are as follows:

Conduct name search to ascertain the availability of the proposed company name with the SSM (Companies Commission of Malaysia).

One will be able to search immediately by using the link provided by us or fill up our online incorporation form or have us do it for you!

To request for a search to be done by us, kindly follow the following steps:

(a) Email/Fax/Send us your proposed Company name (more than one(1) name preferable) together with the following information

– A photocopy of the Directors’ Identity Card / Passport.

– Intended nature of business of the proposed Company.

(b) Approval of the proposed Company name would take approximately 3 – 5 working days. A minimum 30% of total incorporation fee would be required for the above to be done.

(c) You will be informed via email/phone/fax regarding the approval of your Company name.

(d) We will then courier or email the relevant documents required to complete the incorporation process of the Company. This process would take approximately 7 working days. The balance fee due, if any, would be payable at this stage.
